Welcome to substr.io! These Terms of Service (“Terms”) govern your access to and use of our AI content creation platform at substr.io (the “Service”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Service, you affirm that you:

Are at least 18 years of age with legal capacity to enter into a binding contract.
Have read, understood, and agree to these Terms and our Privacy Policy.
Will comply with all applicable laws and regulations.

If using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

substr.io provides an AI-first content creation platform that structures subject matter expert input before AI drafts begin. The Service enables you to:

Create structured content briefs with competitive research and differentiated angles.
Generate intelligent outlines with embedded expert extraction prompts.
Attach source material (transcripts, meeting notes, internal documentation) to articles.
Map expert knowledge to article sections through an AI-assisted Knowledge Map.
Generate voice-consistent drafts synthesized from confirmed expert sources.
Collaborate with subject matter experts in a comment-only review environment.
Export finished content to Webflow, WordPress, or as Markdown/HTML.

3. Account Registration and Security

To use the Service, you must create an account. You agree to provide accurate information, keep credentials confidential, and notify us immediately of unauthorized access. You are responsible for all activities under your account.

You are solely responsible for the content you create using the Service, your use of AI-generated drafts, and compliance with all applicable laws and third-party platform terms when publishing content.

4. Subscription Plans and Pricing

4.1 Subscription Tiers

Starter: $49/month — up to 15 articles/month, 3 client workspaces, 2 team seats
Pro: $149/month — up to 50 articles/month, 10 client workspaces, 5 team seats
Agency: $399/month — up to 150 articles/month, 30 client workspaces, 15 team seats
Enterprise: Custom pricing (contact us)

Annual billing is available at a 20% discount. All prices exclude applicable taxes.

4.2 Article Limits and Add-Ons

Each subscription tier includes a monthly article limit that resets on your billing cycle.
Additional articles can be purchased at $10 per 10 articles on any tier.
Unused article capacity does not roll over to the next billing period.
A 14-day free trial with full Pro features is available — no credit card required.

4.3 Billing and Payment

Subscriptions automatically renew monthly (or annually) unless canceled.
Payments processed securely through Stripe.
Subscription fees are non-refundable except as required by law.
We may modify pricing with 30 days' notice. Changes apply to subsequent billing cycles.

5. Acceptable Use Policy

5.1 Prohibited Content

You agree not to use the Service to:

Create or publish illegal, harmful, abusive, defamatory, or fraudulent content.
Violate intellectual property rights, privacy rights, or other legal rights of third parties.
Generate content that impersonates others or harasses, threatens, or intimidates individuals.
Produce content that violates the acceptable use policies of AI model providers (OpenAI, Anthropic, Google, Perplexity).

5.2 Prohibited Activities

Attempt to gain unauthorized access to the Service or other accounts.
Reverse engineer, decompile, or extract source code from the Service.
Circumvent article limits or usage restrictions through technical means.
Resell or redistribute the Service without written authorization.
Use the Service to generate content for high-risk decisions (medical diagnosis, legal advice, financial guidance) without appropriate human review and safeguards.

5.3 Content Publishing Responsibility

You are solely responsible for reviewing, verifying, and approving all AI-assisted content before publishing. You must comply with the terms of service of any content management systems or platforms you export to (Webflow, WordPress, etc.) and the acceptable use policies of all AI model providers integrated into the Service.

6. Intellectual Property

6.1 Our Rights

The Service, including all software, designs, workflows, and trademarks, is owned by substr.io. We grant you a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes during your subscription term.

6.2 Your Content

You retain full ownership of all content you create using the Service, including articles, source materials, outlines, knowledge maps, and voice profiles. By using the Service, you grant us a limited license to host, process, and transmit your content solely to provide the Service. We will not access your content except to provide support at your request, investigate suspected violations, or as required by law.

6.3 Source Material

You represent that you have the right to upload and use any source material (transcripts, notes, documentation) you attach to articles. You are responsible for ensuring that your use of source material does not violate any confidentiality obligations or third-party rights.

6.4 Feedback

If you provide suggestions or feedback about the Service, we may use it without obligation to you.

7. AI-Generated Content

The Service uses AI models to assist in content creation. You acknowledge that:

AI-generated content may not be accurate, complete, or appropriate for all purposes.
You are solely responsible for reviewing, fact-checking, and validating all AI-assisted outputs before publication.
substr.io does not warrant the accuracy, originality, or fitness of AI-generated content for any particular purpose.
Ownership and copyright of AI-generated content may vary by jurisdiction — consult legal counsel regarding your specific situation.

8. Service Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The Service may be unavailable due to scheduled maintenance, emergency patches, third-party provider outages (AI models, database services), or force majeure events.

We may modify, suspend, or discontinue features with reasonable notice. We will provide 30 days' notice for material changes that adversely affect your use.

9. Termination

9.1 By You

Cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing cycle. You retain access until the cycle ends.

9.2 By Us

We may suspend or terminate your account if you violate these Terms, payments fail repeatedly, we are required by law, or your use poses a security or legal risk.

9.3 Effect of Termination

Access to the Service ceases and your workspaces become unavailable.
Your content and data are retained for 90 days for recovery, then permanently deleted.
You remain responsible for charges incurred before termination.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that AI-assisted content outputs are accurate, original, reliable, or appropriate for any use. You are solely responsible for reviewing and validating all AI-generated content before publication. Do not rely on AI-generated content for critical decisions without independent human review.

11. Limitation of Liability

To the maximum extent permitted by law, substr.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, reputational harm, or service interruptions. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim, or $100, whichever is greater.

12. Indemnification

You agree to indemnify and hold harmless substr.io from any claims arising from your use of the Service, violation of these Terms, violation of third-party rights, publication of AI-assisted content, or misuse of source material you upload to the platform.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Delaware, United States.

13.2 Informal Resolution

Before filing a formal dispute, contact support@substr.io to attempt informal resolution within 30 days.

13.3 Arbitration

Unresolved disputes shall be settled through binding arbitration under AAA Commercial Arbitration Rules. You agree to resolve disputes individually, not as part of a class or representative action.

14. General Provisions

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and substr.io.
Amendments: We may modify these Terms with 30 days' notice for material changes. Continued use after the notice period constitutes acceptance.
Severability: If any provision is found unenforceable, it will be modified to the minimum extent necessary; remaining provisions remain in effect.
Assignment: You may not assign these Terms without our written consent. We may assign them in connection with a merger or acquisition.
Force Majeure: We are not liable for failures caused by events beyond our reasonable control.
